DEALER AUTHORIZATION AGREEMENT

1. Partnership Overview

Alpha American Firearms is a premium, American-made manufacturer specializing in hand-built firearms crafted from billet steel with a focus on precision, reliability, and refined performance.

Dealer is hereby appointed as a non-exclusive authorized dealer of AAF products and agrees to represent the brand in a manner consistent with its quality, craftsmanship, and reputation.

2. Dealer Pricing

Dealer will receive a 20% discount off MSRP on standard production firearms. Custom builds, limited releases, or specialty finishes may be priced separately at AAF’s discretion. Pricing may be updated with reasonable notice.

3. Ongoing Order Commitment

To maintain active dealer status and ensure production consistency, Dealer agrees to:

Maintain a minimum six (6) month relationship of recurring orders - Order frequency may be:

  • One (1) firearm minimum per month, or

  • One (1) firearm minimum every other month

This structure allows AAF to plan production efficiently while supporting steady inventory flow for the Dealer.

4. Lead Times

Standard lead times are estimated at approximately 120 days from order confirmation.

Lead times are estimates and may vary depending on:

  • Component availability

  • Production volume

  • Custom specifications

AAF will communicate any significant delays as needed.

5. Order Placement & Specifications

Orders must be submitted in writing (email or approved order form). Dealer is responsible for confirming all specifications at the time of submission.

Changes after submission may result in:

  • Adjusted lead times

  • Additional costs

6. Order Modifications (Finish Changes)

AAF understands the importance of market demand and seasonal variation in finishes and offers flexibility under the following guidelines:

Dealer may request changes to the finish or color of an existing order with 4–6 weeks’ written notice/email prior to the desired delivery timeframe.

For orders already in the production queue, AAF recommends submitting finish or color changes no later than the first (1st) day of the month preceding the intended delivery month.

All change requests are subject to:

  • Production stage

  • Material and component availability

    Once a firearm has entered final production or finishing stages, modifications may no longer be possible.

    Approved changes may result in adjusted lead times.

This policy is designed to balance Dealer flexibility with production efficiency.

7. Payment Terms

First Order:
All initial orders must be paid in full prior to shipment. This allows both parties to establish a working relationship and ensures a smooth onboarding process.

Subsequent Orders:
Upon successful completion of the first transaction, Dealer may be extended Net 15 payment terms, subject to approval by AAF.

Credit Card on File:
Dealer agrees to maintain a valid credit card on file with AAF as a condition of extended payment terms.
AAF reserves the right to charge the card on file for:

  • Past due invoices

  • Outstanding balances

  • Agreed-upon charges related to orders

  • Late Payments:
    AAF reserves the right to:

  • Suspend future orders

  • Revoke payment terms

  • Require prepayment for all future transactions

    Shipment Release:
    AAF reserves the right to hold shipment of any order until payment terms are satisfied.

8. Shipping & Compliance

All firearms will be shipped in compliance with federal, state, and local laws. Firearms will ship to Dealer’s licensed premises. Dealer assumes responsibility for all transfers and compliance with applicable regulations.

9. Consignment Inventory (If Applicable)

Firearms provided on consignment remain the property of AAF until paid in full. Payment is due immediately upon sale of consigned inventory. AAF reserves the right to request return of consignment firearms at any time.

10. Brand Representation

Dealer agrees to uphold the AAF brand by:

  • Presenting products in a professional and accurate manner

  • Maintaining premium positioning and value perception

  • Avoiding misrepresentation of specifications or performance

11. Licensing & Legal Compliance

Dealer agrees to:

  • Maintain all required FFL licensing

  • Operate in full compliance with ATF regulations

  • Adhere to all applicable federal, state, and local laws

12. Warranty & Service

AAF will handle warranty and service directly unless otherwise specified. Dealer will direct customers to AAF for service-related inquiries.

13. Term & Termination

This Agreement remains in effect until terminated by either party. Either party may terminate with 30 days written notice.

AAF may terminate immediately for:

  • Non-payment

  • Legal or regulatory violations

  • Misrepresentation of the brand or products

14. Independent Relationship

Dealer operates as an independent business and is not an employee, partner, or agent of AAF.

This Agreement represents the full understanding between both parties and supersedes all prior discussions or agreements.

DEALER CREDIT APPLICATION

PAYMENT TERMS AGREEMENT

Dealer acknowledges and agrees to the following:

  • First order must be paid in full prior to shipment

  • Subsequent orders may be extended Net 15 terms upon approval

  • Dealer agrees to maintain a valid credit card on file

Alpha American Firearms reserves the right to:

  • Charge the card on file for past due balances

  • Revoke terms if invoices are not paid within Net 15

  • Require prepayment for future orders if necessary
